Servier Legal department
The Servier Group Legal Department (reporting to the General Secretariat) has the mission to (i) proactively support the Group in the implementation of its strategy, (ii) structure and safeguard the Group’s operations and governance, and (iii) provide agile support and tailored legal advice in line with the needs of Senior Management and the business functions (Finance, Tax, Compliance, Business Development…).
Within the Legal Department, the Corporate Law and Intragroup Agreements Department is made up of 10 lawyers and paralegals. It is responsible for all corporate matters relating to the Group’s entities, all entity restructurings (including involvement in both their design and implementation), intragroup agreements, Group financing matters, and part of the Group’s M&A activities.
To support the needs of the Corporate Law Department, we are recruiting a Legal Counsel.
Job Description
- Corporate governance management of an international portfolio of subsidiaries (drafting/review of documentation relating to approval of financial statements, appointment and removal of directors, intra-group restructurings, incorporations and liquidations, capital transactions, etc.).
- Coordination with internal teams (Finance, Tax) and local counsel.
- Involvement in M&A and capital ventures transactions, including participation in the drafting and negotiation of transaction documentation (NDAs, SPAs, SHAs, shareholders’ agreements, closing documents).
- Monitoring of post-closing operations (legal integration, reorganisations).
- Drafting and management of intra-group agreements.
Skills required
- Master’s degree (Master 2) in Business Law / Corporate Law.
- Qualified lawyer with 2 to 5 years’ experience, gained in a law firm and/or in-house.
- Experience in corporate law in France and/or internationally, ideally with initial exposure to M&A, restructurings and a range of commercial agreements.
- Experience in the healthcare sector or in an industrial environment would be an advantage.
- Fluent in French and English.
- Strong team player, comfortable working in a cross-functional and international environment.
- Strong organisational skills, with the ability to manage priorities effectively.
- Strong analytical and synthesis skills, with a high level of attention to detail.
- Proactive mindset and ability to demonstrate agility
