Legal & Compliance Manager

Job Description

MISSION 

To lead and drive counsel for the legal and compliance activities of Servier Vietnam’s compliance and legal programs and activities to ensure business practices and activities in compliance with all applicable laws, regulations and internal compliance policies.

The position is based in Ho Chi Minh, Vietnam and could include occasional travel as and when required.


ROLE

To comply with all Company procedures, rules, regulations, and codes of practice, in particular observing confidentiality at all time and security of all documents in all matters relating to the Company’s business. To ensure that Company’s business interests are always served and kept paramount. To work in close cooperation with managers, help them optimize and improve the financial process and productivity to achieve the company’s objectives.

At all times, maintaining and enhancing the good image of the Company.

 

KEY RESPONSIBILITIES:

Legal 
•    Serve as the primary legal contact for both the subsidiary and global Servier teams.
•    Draft, review, and negotiate key agreements and provide practical legal advice across various areas, including competition, commercial, pharmaceutical (especially market access, new technologies, criminal, and IP law with consistent support of notably outside law firm
•    Develop standardized, localized legal processes and templates to efficiently deliver legal services in Vietnam.
•    Manage litigation in coordination with HQ according to internal policies and guide affiliates on legal policies, conduct regular reviews and updates.
•    Direct and conduct periodic reviews and updates related to internal legal policies and procedures.
•    Monitor new legislation, analyse its impact, and recommend actions.
•    Oversee the local law firm network to ensure quality and cost efficiency under HQ guidelines.
•    Deliver regular legal training onsite and online as the Vietnam law expert with the support of an outside law firm as required.
•    Collaborate closely with World Operations Legal Affairs and Regional Legal Manager through meetings, reports, and updates.


Compliance & Data Privacy
•    Clearly communicate throughout the company a culture of ethics, integrity, and compliance, including personal accountability at all levels.
•    Identify, assess, and mitigate compliance risks related to data privacy, regulatory adherence, and business operations to safeguard the company’s integrity and reputation.
•    Lead, in collaboration with Regional Compliance and HQ Team on projects, and support any required business remediation plans or corrective actions.
•    Ensure all medical and promotional meetings comply with company policies, legal regulations and comply with Fair Market Value (FMV).
•    Integrate risk management practices into business governance and decision-making, emphasizing ongoing compliance with relevant laws and industry standards.
•    Conduct compliance training and awareness programs focused on data privacy and ethical business practices. 
•    Provide regularly sufficient training plus e-Learning modules to educate all employees on compliance matters including global and local policies, procedures, and best practices.
•    Lead compliance initiatives, audits, risk assessments and special projects as assigned by the General Manager or Regional Compliance leadership.
•    Organize Compliance Steering Committee (CSC) Meeting (at least twice a year or with urgent issue) to update company’s compliance status.
